Vectorworks サブスクリプション利用規約

本利用規約は、お客様とVectorworks, Inc. (以下「Vectorworks」または「弊社」) との間で締結されます。以下の利用規約は、明示的に参照することにより本書に組み込まれる任意文書（以下、総称して「サブスクリプション契約」）とともに、お客様のサブスクリプションサービス（以下、「Vectorworks サブスクリプション」）の使用に適用されます。

本サブスクリプション契約への同意または承諾をクリックし、Vectorworks サブスクリプションを購入することにより、お客様は、(a) 本サブスクリプション契約（サブスクリプション契約に関連する追加文書を含む）を読み理解したことを認め、(b) お客様が拘束力のある契約を締結できる法的年齢に達していることを表明します。また、お客様が企業、政府組織、その他の法人を代表して行動している場合は、当該法人を代表して本サブスクリプション条項を締結し、当該法人を本サブスクリプション契約に拘束する権利、権限、および権威を有していることを表明し、(c) 本サブスクリプション条項に拘束され、これを遵守することを承諾し、同意することとします。本サブスクリプション利用規約に同意されない場合、Vectorworks サブスクリプションは購入できません。

1.　サブスクリプションサービスについて

1.　Vectorworksは、本サブスクリプション契約（以下「サブスクリプションサービス」）に基づき、ソフトウエアおよびサービスをサブスクリプションベースで提供します。 Vectorworksソフトウエアおよびサービス（無償のソフトウエアまたはサービスを含む）のインストール、アクセス、その他の方法で使用に関する権利は、該当する場合、Vectorworks 使用許諾契約書（その規約は参照により本サブスクリプション利用規約の一部となります）でVectorworksが明示的に付与したライセンス権およびサービスの資格に限定され、これらの契約のすべての条件を受け入れ、遵守いただく必要があります。製品や言語または地域によっては、特典や購入オプションの一部をご利用いただけない場合があります。お客様の特定のサブスクリプションサービスは、Vectorworks カスタマーポータルのお客様のアカウントで確認できます。お客様が有効なVectorworks サブスクリプションをお持ちで、お客様の国で利用可能な最新バージョンのVectorworksへのアクセスを享受している場合は、さらにカスタマーポータルで、現在のバージョンよりも3つ前までのバージョンのシリアル番号をリクエストすることができ、ポータルに表示されているライセンスは使用することができます。

2.　Vectorworksは、お客様への事前の通告なしに、いつでもお客様のVectorworks サブスクリプションのサブスクリプションサービスを変更、追加、または削除する権利を有します。

3.　お客様のサブスクリプションサービスに含まれるソフトウエアは、電子メールおよびVectorworks カスタマーポータルからのダウンロードによりお客様に提供されます。

4.　お客様は、Vectorworksの書面による事前承諾なしに、インターネット経由またはインターネット上で、タイムシェアリング、サービスビューロー、サービスとしてのソフトウエア、クラウド、その他の技術やサービスを含む、または関連する、いかなる人物に対しても、サブスクリプションサービスをレンタル、リース、貸与、販売、サブライセンス、割り当て、配布、出版、譲渡、その他の利用可能な状態にすることはできません。

2.　期間および契約の終了について

1.　期間

お客様のVectorworks サブスクリプションは、トークンが引き換えられ、お客様がVectorworks サブスクリプションを有効化した時点で開始されます。最初の購入時およびトークンを追加する際は、インターネットへの接続が必要になります。お客様のVectorworks サブスクリプションは、以下に説明するようにお客様がVectorworks サブスクリプションを延長しない限り、お客様の最初のサブスクリプショントークンと同じ期間後に終了します。お客様は、カスタマーポータルで新しい有効なトークンを追加することにより、いつでもサブスクリプションを延長することができます。

2.　正当な理由による解約

お客様またはVectorworksが本サブスクリプション契約に違反し、当該違反に関する書面による通知の送付後10日以内に当該違反を是正しない場合、違反していない当事者は本サブスクリプション契約を解除することができます。弊社は、以下の場合、その裁量で、お客様のVectorworks サブスクリプションを停止または終了できます：(a)お客様が支払期日までに支払いを怠った場合、または本サブスクリプション契約に違反した場合；(b)弊社が、司法またはその他の政府の要求または命令、召喚令状、または、明示的または合理的な暗示によりサブスクリプションの停止また終了を要請する法執行機関の要請を受けた場合。お客様がVectorworksの書面による事前承諾なしに本サブスクリプション契約を譲渡または移転しようとした場合、本サブスクリプション契約はお客様に通知することなく直ちに自動的に終了します。

3.　解約の効果

本サブスクリプション契約の終了、解除、または満了に伴い、お客様は、サブスクリプションサービスに対するいかなる権利も、または本サブスクリプション契約に基づいて付与されたその他の権利も消失し、お客様は、すべてのサブスクリプションサービスの使用を直ちに中止しなければなりません。本サブスクリプション契約の規定のうち、本サブスクリプション契約の満了もしくは終了後の履行もしくは遵守を指定もしくは予定しているもの、または本契約に基づく当事者の各権利および義務を解釈するために必要なものは、本サブスクリプション契約の満了もしくは終了後も存続し、完全な効力を有するものとします。

お客様のVECTORWORKS サブスクリプションおよびサブスクリプションサービスに関する追加条件は、Vectorworks 使用許諾契約書に記載されています。

VECTORWORKS SUBSCRIPTION TERMS AND CONDITIONS

These terms and conditions are entered into by and between You and Vectorworks, Inc. ("Vectorworks" or "we"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, these "Subscription Terms"), govern Your use of the Subscription Services ("Vectorworks Subscription").

By clicking to accept or agree to these Subscription Terms and purchasing a Vectorworks Subscription, You (a) acknowledge You have read and understand these Subscription Terms (including any additional documents linked to by these Subscription Terms), (b) represent that You are of legal age to enter into a binding agreement and, if You are acting on behalf of a corporation, governmental organization, or other legal entity, You have the right, power, and authority to enter into these Subscription Terms on behalf of such entity and bind such entity to these Subscription Terms, and (c) accept and agree to be bound and abide by these Subscription Terms. If You do not agree to these Subscription Terms, You must not purchase a Vectorworks Subscription.

1.　SUBSCRIPTION SERVICES.

1.　Vectorworks makes software and services available on a subscription basis in accordance with these Subscription Terms ("Subscription Services"). Rights to install, access, or otherwise use Vectorworks software and services (including free software or services) are limited to license rights and services entitlements expressly granted by Vectorworks in the Vectorworks Professional License Agreement (the terms of which are incorporated herein by reference and made a part of these Subscription Terms) when applicable and are subject to acceptance of and compliance with all terms and conditions of these agreements. All benefits and purchase options may not be available for all software or services in all languages and/or geographies. Your specific Subscription Services are identified under Your account in the Vectorworks Customer Portal.

2.　Vectorworks reserves the rights to change, add, or remove Subscription Services for Your Vectorworks Subscription at any time without prior notice to You.

3.　Any software included in Your subscription services will be delivered to You by download via an email and from the Vectorworks Customer Portal.

4.　You may not rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer or otherwise make available any Subscription Services to any person, including on or in connection with the internet or any time-sharing, service bureau, software as a service, cloud or other technology or service, without Vectorworks’ prior written consent.

2.　TERM AND TERMINATION.

1.　Term.

Your Vectorworks Subscription begins as soon as Your token is redeemed, and you activated Your Vectorworks Subscription. Access to the internet is required on the date of Your initial purchaseand when adding additional token. Your Vectorworks Subscription will expire after the period equal to Your initial subscription token , unless You extend Your Vectorworks Subscription as described below. You may extend your Subscription anytime by adding a new, valid token in the Customer Portal.

2.　Termination for Cause.

If You or Vectorworks is in breach of these Subscription Terms and fail to cure such breach within ten (10) days after delivery of written notice of such breach, then the non-breaching party may terminate these Subscription Terms. Vectorworks may, in its discretion, suspend or terminate Your Vectorworks Subscription if (a) You fail to make any payment when due or otherwise violate these Subscription Terms, or (b) Vectorworks receives a judicial or other governmental demand or order, subpoena or law enforcement request that expressly or by reasonable implication requires Vectorworks to do so. These Subscription Terms will terminate immediately and automatically without notice to You if You attempt to assign or transfer these Subscription Terms without Vectorworks’ prior written consent.

3.　Effect of Termination.

Upon any termination, cancellation, or expiration of these Subscription Terms, You will no longer have any right to the Subscription Services or any other rights granted under these Subscription Terms, and You must immediately cease all use of all Subscription Services. Any provision of these Subscription Terms that specifies or contemplates performance or observance subsequent to any expiration or termination of these Subscription Terms, or which is otherwise necessary to interpret the respective rights and obligations of the parties hereunder, shall survive any expiration or termination of these Subscription Terms and continue in full force and effect.

ADDITIONAL TERMS AND CONDITIONS REGARDING YOUR VECTORWORKS SUBSCRIPTION AND THE SUBSCRIPTION SERVICES ARE CONTAINED IN THE VECTORWORKS PROFESSIONAL LICENSE AGREEMENT.
